User and Member Agreement

1. USER REPRESENTATIONS: Users represent and they warrant that they are at least 18 years of age, and that they possess the legal right and the legal ability to enter into this Agreement and to use the Site in accordance with these Terms and Conditions. Users further represent and warrant that they will not allow any minor access to this Site (a “minor” being a person under the age of majority in the User’s country and/or state). WE WILL NOT TOLERATE PORNOGRAPHIC MATERIAL (INCLUDING “VIRTUAL” MATERIAL) INVOLVING MINORS AND WE WILL REFUSE KNOWN PEDOPHILES HAVING ACCESS TO THIS SITE AND ANY PEDOPHILIC ACTIVITY IS STRICTLY FORBIDDEN ON THIS SITE.
2. RESTRICTIONS ON USE: Users agree to use this Site solely for their own personal and non-commercial use. Further, Users agree not to (a) interrupt or attempt to interrupt the operation of this Site in any way, or use the Site in a manner which adversely affects the availability of this Site's resources to other Users; (b) use the Site for any illegal or unlawful purpose or in any manner which is inconsistent with these Terms and Conditions; or (c) modify, copy, transmit, distribute, display, perform, publish, reproduce, license, create derivative or like works from or offer for sale any information either in whole or in part contained on, or obtained from, this Site.
3. USER’S AGREEMENT: Users agree to: (a) maintain all equipment and software (including having the appropriate software to view and/or download videos and other media) required for their safe access to and use of this Site; (b) maintain the security of their own user identification, password and any other confidential information relating to their AdultCityWorld account (hereinafter referred to as “Account”); (c) be responsible for all consequences resulting from or by use of their Account, including use of their Account by others (such as minors) or any unauthorised use; (d) notify AdultCityWorld immediately if Users become aware of any unauthorised use of or access to their Account. Users also agree that each username and password must be used by only a single User and that this information is not transferable.
4. MODIFICATIONS: AdultCityWorld reserves the right to modify this Agreement from time to time without your consent. Such modifications will take effect immediately upon notification on this Site. Your continued use of this Site, or any of the materials contained on this Site, following such notification will be deemed your conclusive acceptance of, and binding consent to, the modified Terms and Conditions of this Site whether or not you have read such modifications.
5. PRIVACY POLICY: AdultCityWorld collects Users personal information for the purpose of registering Users so that we can provide Users with a range of products and/or services, which may or may not be of benefit to Users. AdultCityWorld also collects Users personal information for future promotional and marketing purposes, and will not share Users personal information with businesses unless a User gives explicit permission to share that information. A User will not be able to become a paid member unless certain correct and accurate personal information is provided. Users are responsible for ensuring that their personal details remain current and accurate. Users personal information will also be used by AdultCityWorld to contact Users to confirm payment has been processed for the product and/or service ordered, and to receive feedback concerning the operation of our service. Except as outlined in this Agreement, AdultCityWorld will not disclose Users personal information to any other party unless permission is given by Users or it is required by law or to protect the interest of AdultCityWorld. Users have the right to access and correct any personal information held by AdultCityWorld. Where there is a Privacy Policy attached to this Site which may conflict with the policy statement in this Privacy clause in this Agreement, that Privacy Policy shall take precedent over these Terms and Conditions.
6. EMAIL POLICY: Upon signing up as a member you agree to receive emails from AdultCityWorld and merchants about products and services we/they offer, and for confirmation of the membership registration process, and for notices which may or may not affect your Account status. Any correctly addressed notice that is sent to you and is subsequently refused, unclaimed, or undeliverable owing to an act or omission of the party to be notified shall be deemed effective as at the first date that said notice was sent to you. 7. LICENCE: All Users agree to their having no right or licence (“Licence”) in or to AdultCityWorld and materials contained on this Site (“AdultCityWorld Content”) other than the limited right to use this Site according to these Terms and Conditions. Users shall not copy, modify, display, create derivative works of, publish, or sell the AdultCityWorld Content or any information, software, or services provided by us or our merchants. The AdultCityWorld Content may be modified from time to time by AdultCityWorld in its sole discretion. Except as expressly set forth in this Agreement, no Licence is granted to Users for any other purpose, and any other use of the service provided by us or the AdultCityWorld Content by Users shall constitute a material breach of this Agreement. If you choose to download content from this Site, you must do so according to these Terms and Conditions. Such download is licensed by AdultCityWorld only for your own personal and non-commercial use according to these Terms and Conditions and does not transfer any other rights or Licence to you. Nothing in this Agreement shall affect any rights of AdultCityWorld or its licensors in the service provided by us or AdultCityWorld Content, and any associated patents, copyrights, designs, trademarks, trade secrets or other intellectual property rights. No license, right or interest in any trademarks of AdultCityWorld or merchants or any other party is granted under this Agreement.
8. COPYRIGHT: All material on this Site and associated websites (“Copyright Material”) is protected by copyright as owned by us or our merchants unless otherwise noted and may not be used except as expressly permitted in this Agreement or in the text on the Site, and such Copyright Material is protected under the laws of Australia and in other countries.
9. TRADE MARKS: The trademarks and logos displayed on the Site (“Trade Marks”) are trademarks of AdultCityWorld and/or our merchants, unless otherwise stated. The merchants promoted on this Site provide their own logos and graphics from time to time and they warrant to AdultCityWorld that they own the copyright to display these images on this Site. Nothing contained on this Site should be construed as granting, by implication, estoppel or otherwise, any Licence or right to use the Trade Marks displayed on this Site without the express written permission of AdultCityWorld or such other party owner. You must retain, on all copies of all downloaded material from this Site, all copyright and other proprietary notices contained in that said material. Use of Copyright Material and/or Trade Marks by you, or anyone you have authorised, is prohibited unless expressly permitted by either this Agreement, or provided elsewhere on this Site or provided by AdultCityWorld. Unauthorised use of any image from this Site may violate the laws of privacy, copyright laws, trade mark laws, or civil and criminal statutes and every User agrees to personally indemnify AdultCityWorld against any such breach of law or otherwise said User has committed.
10. HYPERLINKS: This Site may contain links to other websites owned by AdultCityWorld or merchants or other parties. AdultCityWorld is not responsible for, and does not control, the content of any other website linked to or from this Site. Any links to other websites are provided only for your convenience and we makes no warranty or representation at all regarding and, unless expressly stated by us on this Site, does not endorse the owner and/or sponsor the content of any such linked websites. AdultCityWorld disclaims all warranties, whether expressed and/or implied, as to the accuracy, legality, validity, or otherwise of any material or information contained on this site and on such linked websites. AdultCityWorld neither warrants nor represents that Users using such material on linked websites will not infringe rights of other parties not owned by or affiliated with AdultCityWorld or merchants.
11. NO WARRANTIES: AdultCityWorld will assume no responsibility, and will not be liable for, any damages to or viruses which may infect or affect your computer equipment or other property due to your accessing and/or using this Site or any linked websites, or your downloading any material, data, images, text, content, video or audio from this Site or any linked website. AdultCityWorld will assume no responsibility for computer systems, hardware, software or program malfunctions or for any other errors, failures, or delays in computer transmissions or network connections or for any lost, late, illegible, mutilated, misdirected or incomplete information. A member must provide a valid email address, which is also free from any malicious software. AdultCityWorld reserves the right, having sole discretion, to cancel or suspend this opt-in program should any virus, bug, or other cause beyond AdultCityWorld's control causes the administration, security or proper function of this Site to be corrupted. The material on this Site may contain inaccuracies, non-current information, and typographical errors. AdultCityWorld does not warrant either the completeness or accuracy of the material on this Site, or the reliability of any opinion, advice, statement or such other information displayed or distributed through this Site. You acknowledge by accepting these Terms and Conditions contained in this Agreement that any reliance on any such opinion, statement, advice, memorandum or such other information will be at your own risk.
12. REVIEW OF POSTINGS & UPLOADS: You may send and receive electronic mail (“Email”), and engage in conferences and chats, and download and upload files and otherwise use this Site as permitted by this Agreement, the operating policies of AdultCityWorld and any applicable law. Participation in on-line communications and communities will occur in real time and is not edited, censored, or otherwise controlled by us which does not and cannot review all communications and material posted to or uploaded onto this Site. Consequently, you agree and confirm that AdultCityWorld is neither responsible for, nor liable for, the content of these communications and material, nor for any error, defamation, slander, libel, profanity, obscenity or inaccuracy contained in any such communication or material. AdultCityWorld reserves the right to block or remove any communication or material that it determines, in its sole discretion, to be (a) abusive, defamatory, libellous, slanderous or obscene, (b) fraudulent, misleading or deceptive, (c) violating a copyright or trade mark, or any other intellectual property right of AdultCityWorld or another party (d) conduct which would be considered to construe a criminal offence or give rise to civil liability or prosecution or otherwise violate any law whether in Australia or another country (e) offensive or otherwise unacceptable to Users; or (f) harmful, offensive or otherwise in violation of this Agreement or operating policies of AdultCityWorld, merchants or other parties. AdultCityWorld will cooperate fully with any Australian law enforcement authority or Australian court order requesting or directing us to disclose the identity of anyone posting such communications or material. Statements made in websites, message boards, newsgroups, email, conferences, forums, and chats reflect only the views of their authors, and do not necessarily reflect those of AdultCityWorld, merchants or other parties and their owners.
13. REGISTRATION: For Users to access the services offered by AdultCityWorld at this Site, they must register by completing their registration details in the manner described at this Site. AdultCityWorld reserves the right to terminate any User membership at any time with no right to compensation, whether expressed or implied, if any User is in breach of these Terms and Conditions. All Users agree to ensure that their membership registration details are correct and accurate at all times and they must notify AdultCityWorld immediately of any change to their registration details by Email to info@adultcityworld.com. Once registered as a member, Users will need to provide a suitable username and password.
14. TERM AND TERMINATION: Either a User or AdultCityWorld may terminate that User’s right to use this Site at any time, with or without cause, upon notice by Email to the User (in the case of termination by AdultCityWorld) or to AdultCityWorld at info@adultcityworld.com (in the case of a User termination). Clauses 1, 2, 3, 4, 5, 9, 10, 11, 12, 13, 14, 16, 17, 18, 19, 20, 21, 22, 23 and 24 will survive any termination of this Agreement.
15. LIABILITY: AdultCityWorld, our merchants, and their other parties and/or associated agencies are not liable for any loss, damage, personal injury or death whatsoever (including, but not limited to, direct, indirect, or consequential losses either apparent or potential) suffered or sustained or potentially suffered or sustained in connection with any: (i) inaccurate or any incorrect information as provided by Users; or (ii) use of this Site or AdultCityWorld Content; or (iii) use of the service or services offered or products provided by AdultCityWorld, our merchants, and their other parties and/or associated agencies; or (iv) act or omission (whether negligent or otherwise) of AdultCityWorld, our merchants, and their other parties and/or associated agencies; or (v) failure or delay (including, but not limited to, the use of or inability to use any component of the service or services in this Site for reservations or other such service); or (vi) performance or non-performance of any merchant or any other party in connection with the AdultCityWorld service or services, except for any liability which cannot be excluded by law in Australia as applied by the courts in the Australian Capital Territory.
16. LIABILITY RELEASE AND INDEMNIFICATION: By being a User of the Site, you hereby release and discharge and agree to indemnify at all times: a) AdultCityWorld and any related body corporate, and b) AdultCityWorld organisers, directors, officers, employees, contractors, and agents; and c) the other participants and/or Users (“Released Parties”), for any personal injury, illness or death, liabilities, claims, criminal offences or expenses of any kind, including reasonable barristers’ and/or solicitors’ fees ( whether accruing to you personally, or to your heirs or to your personal representatives) that are caused or alleged to be caused whether in whole or in part by reason of an act or non act or omission of any Released Party that arises out of or connected to your use of this Site, or resulting from any violation of this Agreement or any other activity related to your Account (including infringement of any other parties’ worldwide intellectual property rights, or negligent or wrongful or unlawful conduct) by you or any other person accessing AdultCityWorld using your Account details. In no event will AdultCityWorld be liable to you or your successors for any or all damages (including any exemplary damages claimed), losses, causes of action (in contract or in tort, including but not limited to negligence or misrepresentations), court costs, interest, and legal fees being the lesser amount claimed of either: (a) the amount of money or otherwise which you paid to be a User of AdultCityWorld, if any, for accessing this Site; or, (b) $100 Australian Dollars.
17. THIRD-PARTY RIGHTS: The foregoing provisions relating to Indemnification and Waiver, Release, and Limitation of Liability are for the benefit of AdultCityWorld and it's officers, directors, employees, agents, licensors, suppliers, merchants, information providers, and any other party. Each of these individuals and/or entities has its own right to assert and enforce these aforementioned provisions directly against you on its own behalf.
18. USE OF THE SITE OUTSIDE AUSTRALIA: AdultCityWorld does not represent that the contents of this Site are appropriate or available for use in countries or territories outside of Australia. If you choose to access the Site from outside Australia, you are responsible for complying with foreign and local laws.
19. GOVERNING LAW: This Agreement is governed by and construed in accordance with the laws of the Australian Capital Territory, a territory within the Confederation of Australia. Each and every party hereby irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of the Australian Capital Territory. Consequently, all Users and any other persons or legal entities agree and confirm that any action taken against AdultCityWorld and it's officers, directors, employees, agents, licensors, suppliers, merchants, information providers, and any other party must be taken in a court administered only by the Australian Capital Territory Law Courts & Tribunals with any action being taken outside of said jurisdiction to have no lawful effect nor standing. YOU AGREE THAT ANY CAUSE OF ACTION ARISING FROM OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) CALENDAR YEAR AFTER THE ALLEGED CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION WILL BE PERMANENTLY BARRED.
20. SEVERANCE: If any provision of this Agreement or any portion contained thereof, is found by a court to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible so as to effect the intent of this Agreement, and the remainder of this Agreement will continue in full force and effect.
21. NO ASSIGNMENT: This Agreement and the rights granted and the obligations undertaken hereunder may not be transferred, delegated, or assigned in any manner by a User, but may be so transferred, delegated, assigned by AdultCityWorld.
22. FORCE MAJEURE: AdultCityWorld shall not be responsible for any failure to perform owing to unforeseen circumstances or for causes beyond our reasonable control, including but not limited to acts of God (eg, fire, flood, earthquakes, hurricanes, tropical storms or other natural disasters) war, riot, arson, embargoes, acts of civil or military authority, or terrorism, fibre cuts, strikes, or shortages in transportation, facilities, fuel, energy, labour or materials, failure of the telecommunications or information services infrastructure, hacking, SPAM, or any failure of a computer, server or software, for so long as such event continues to delay the Site’s performance.
23. MISCELLANEOUS: Any failure or omission by AdultCityWorld to insist upon or enforce any strict performance of any provision of this Agreement will not be construed as a waiver in full or in part of any provision or right. Neither the course of conduct between the parties to this Agreement nor any trade practice will act to modify or change any provision of this Agreement. AdultCityWorld may assign its rights, duties and obligations pursuant to this Agreement to any party at any time without notice to Users.
24. HOW TO CONTACT US: Under this Agreement, AdultCityWorld may deliver notice to you by means of electronic mail, a general notice on this Site, or by written communication delivered by mail to your address as recorded in this Site’s Account information. If required under this Agreement to give notice, you must give notice to AdultCityWorld by electronic mail to AdultCityWorld at info@adultcityworld.com.
